EquiGuild Representative Terms
These terms explain the basis on which EquiGuild appoints and works with country representatives.
1. Nature of the role
The role is an independent representative and referral role. It is designed to help introduce relevant businesses to EquiGuild and support local market awareness.
2. Not paid employment
The representative role is not an employment contract, salaried job or worker arrangement. Representatives are not employees, agents with authority to bind EquiGuild, or partners in a legal partnership.
3. Country appointment
EquiGuild intends to appoint one active representative per country at a time. EquiGuild may leave a country vacant, suspend an appointment or replace an appointment if required.
4. Approved title and brand use
The approved formal title is EquiGuild Country Representative – [Country]. EquiGuild [Country] Representative is acceptable informally. The title is descriptive only and does not create employment, officer, director, branch, franchise, partnership, legal agency or authority status. Titles such as Country Manager, Managing Director, Regional Director, Head of EquiGuild [Country], CEO, Official Agent or similar must not be used unless expressly authorised in writing. Representatives must not register an EquiGuild company, branch, domain, social-media account or trading name without prior written permission.
5. Commission basis
The current standard commission is 20% of the initial qualifying paid conversion and 20% of that converted membership’s first qualifying annual renewal only. Commission is earned only when a referred business completes a qualifying paid purchase. Clicks, leads, introductions, applications, registrations, free/unpaid sign-ups and referrals alone do not earn commission. No representative commission is paid on later renewals. The first renewal remains linked to the original representative in EquiGuild’s records and does not require the original referral cookie to still exist.
6. Attribution window
Referral attribution currently uses a 90 day attribution window from the representative’s tracked referral.
7. Holding period and payout
Commission is initially recorded as pending and becomes eligible after a 90 day holding period, subject to refund, cancellation, chargeback or other reversal checks. Eligible commission is scheduled for the 15th of the following month for commission cleared during the previous calendar month. A minimum payout threshold of £25.00 applies; smaller balances roll forward until the threshold is reached. EquiGuild currently administers representative payouts through Wise Business batch payments. Representatives must keep their payout email and any requested payment/compliance information accurate and current.
8. Tax treatment of commission
Representative commission is paid gross unless EquiGuild is legally required to deduct or withhold tax or another statutory amount. EquiGuild does not ordinarily deduct income tax, social security, National Insurance or equivalent taxes and representatives are not on EquiGuild payroll. Each representative is responsible for declaring commission income, paying taxes and statutory charges due in their jurisdiction, keeping appropriate records and obtaining their own tax advice. EquiGuild may request tax, identity or invoicing documentation and may hold a payout until required compliance information has been supplied.
8. Qualifying business
Commission is intended for genuine third-party referred businesses that become paying customers through the representative’s introduction. Self-referrals, sham referrals, abusive activity or prohibited conduct may be rejected or voided.
9. No authority to bind EquiGuild
Representatives must not state or imply that they can enter contracts, set bespoke prices, make guarantees, or create obligations on behalf of EquiGuild unless expressly authorised in writing.
10. Conduct
Representatives should act professionally, honestly and lawfully. Spam, misleading claims, brand misuse, harassment, or conduct damaging to EquiGuild may lead to suspension or termination.
11. Suspension or termination
EquiGuild may suspend, pause or terminate a representative appointment at any time where it considers this necessary for operational, legal, conduct or quality reasons.
